All my conf's are right and so is everything else i just don't know how to get passed this.

This generally happens when an antivirus program is blocking access to the module files. Be sure to add Unreal's directory as an exception to any running virus scanner as well as any Windows built-in protection (if enabled).
Also, be sure Unreal is running under XP compatibility mode and as a user with Administrator privileges. See this topic for more info: http://forums.unrealircd.com/viewtopic.php?f=3&t=4928

If you cannot do that, don't run Unreal. You need to know how to use and administrate your OS before you run a server!
